1. General provisions
These Terms of Use (the "Terms") govern access to and use of the websites, web applications, mobile applications, APIs, and related digital tools operated under the cealio brand (together, the "Platform").
The Platform is operated by Tavaktech LTD, with registered address at Office 106, 9 Brewers Lane, Richmond, Surrey, TW9 1HH, UK, company number 16563260 (hereinafter "cealio", "we", "us", or "our"). Contact: hello@cealio.com.
By accessing or using the Platform, creating an account, submitting a booking request, or otherwise interacting with cealio services, you agree to these Terms. If you do not agree, you must not use the Platform.
cealio provides a technology marketplace that enables customers to request chauffeur-driven transfer and hourly hire services. Actual road transportation is performed by independent transportation service providers ("Carriers" or "TSPs") and their drivers. Unless expressly stated otherwise in a written agreement, cealio does not itself operate vehicles as a road passenger carrier for the booked ride.
2. Definitions
- User / Customer: a natural or legal person who browses, registers, or books through the Platform.
- Guest / Passenger: the person(s) who will travel in the vehicle, whether or not they made the booking.
- Booking: a confirmed reservation for a transfer, hourly hire, or other service offered on the Platform.
- Quote: a non-binding or binding price proposal for a journey where a fixed catalog fare is not available.
- Carrier / TSP: an independent company or professional that provides the vehicle and driver.
- Service: platform, arrangement, payment facilitation, customer support, and related digital services provided by cealio.
3. Eligibility and accounts
3.1 Age and capacity
You must be at least 18 years old and have legal capacity to enter into binding contracts. Bookings involving minors require an accompanying adult or documented parental/guardian consent as described in the Passenger Transport Agreement.
3.2 Account registration
Certain features require an account. You must provide accurate, complete, and current information and keep credentials confidential. You are responsible for all activity under your account. Notify us promptly at hello@cealio.com if you suspect unauthorized use.
3.3 Account types
cealio may offer consumer accounts, corporate / agency accounts, and carrier partner accounts. Additional terms may apply to business and carrier relationships (including the Carrier Purchase Agreement and Data Protection Addendum).
3.4 Suspension and termination
We may suspend or terminate access where we reasonably believe there is fraud, abuse, payment failure, legal risk, or material breach of these Terms or applicable law. You may close your account by contacting support, subject to completion of outstanding bookings and legal retention obligations.
4. Nature of the contractual relationship
4.1 Platform role
When you complete a booking, you enter into:
- a platform / purchase arrangement with cealio for arranging the ride, processing payment, and providing related digital services (see the Purchase Agreement); and
- a transport claim for the physical ride, performed by the assigned Carrier under the Passenger Transport Agreement and applicable transport law.
4.2 No guarantee of availability
Vehicle classes, extras, routes, and times are subject to operational availability. Displayed prices and ETAs are estimates until a booking is confirmed.
4.3 Changes after confirmation
Material changes (route, time, vehicle class, passenger count, extras) may require re-pricing and Carrier acceptance. cealio may decline unsafe or unlawful change requests.
5. Bookings, quotes, and confirmation
5.1 Booking request
Submitting a booking form constitutes an offer. A contract is formed when cealio issues a booking confirmation (email/SMS/in-app) with a reference code.
5.2 Quotes
Where a fixed fare is unavailable, you may request a quote. A quote is not a confirmed booking until you accept it and cealio issues confirmation within the stated validity period.
5.3 Information accuracy
You are responsible for accurate pickup/drop-off points, flight numbers, dates/times, passenger counts, child seats, luggage volume, accessibility needs, and contact details. Incorrect information may result in delays, refusal of service, or additional charges without refund (see Refund Policy).
6. Prices, taxes, and payment
Prices are shown inclusive or exclusive of taxes as indicated at checkout. You authorize cealio and its payment processors to charge the selected payment method for the booking total, approved extras, no-show or waiting fees where applicable, and lawful adjustments. Payment processing may be handled by third-party providers (e.g. card acquirers). Card issuer fees are outside cealio’s control.
7. Cancellations and refunds
Cancellation windows, fees, and refund eligibility are governed by the Refund Policy and the cancellation policy attached to your Booking. Completed or performed transfers are not refundable. Refunds, when eligible, are subject to manual review and are not automatic.
8. Acceptable use
You must not:
- use the Platform for unlawful, fraudulent, or harmful purposes;
- interfere with Platform security, scrape without authorization, or reverse engineer the services except as permitted by law;
- harass drivers, greeters, support staff, or other users;
- book with no intention to travel (except lawful testing arranged with cealio);
- upload malware or infringing content;
- misrepresent identity, flight, or payment details.
9. Intellectual property
The Platform, trademarks (including cealio), logos, UI, text, graphics, and software are owned by cealio or its licensors. You receive a limited, revocable, non-exclusive license to use the Platform for personal or authorized business booking purposes. No other rights are granted.
10. Third-party services
Maps, flight data, messaging, analytics, and payment services may be provided by third parties. Their terms and privacy practices apply to their processing. cealio is not responsible for third-party outages beyond reasonable control, but will take commercially reasonable steps to restore service.
11. Liability
11.1 Platform liability
To the fullest extent permitted by mandatory consumer law, cealio’s aggregate liability arising from Platform services for a Booking is limited to the amounts you paid to cealio for that Booking. cealio is not liable for indirect, incidental, or consequential losses (including missed flights beyond any specific remedy stated in the Passenger Transport Agreement), lost profits, or loss of data, except where caused by cealio’s willful misconduct or gross negligence, or where liability cannot be limited by law.
11.2 Transport performance
Claims relating to the physical ride (injury, property damage in transit, driver conduct) should be directed primarily to the Carrier as transport provider, without prejudice to mandatory rights against cealio where applicable. cealio will reasonably assist in identifying the Carrier and coordinating incident handling.
11.3 Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including severe weather, strikes, wars, epidemics, infrastructure failures, or governmental acts.
12. Indemnity
You agree to indemnify cealio against claims arising from your breach of these Terms, inaccurate booking data, unlawful conduct of Passengers you booked for, or misuse of the Platform, except to the extent caused by cealio’s gross negligence or willful misconduct.
13. Privacy
Personal data is processed as described in the Privacy & Cookie Policy, Privacy Notice (Disclosure), and, for business partners, the Data Protection Addendum.
14. Amendments
We may update these Terms by publishing a new version on the Platform and updating the “Last updated” date. Material changes affecting existing confirmed Bookings will not retroactively worsen mandatory consumer rights for those Bookings. Continued use after the effective date constitutes acceptance of the updated Terms for future use.
15. Governing law and disputes
These Terms are governed by the laws of the Republic of Türkiye, without prejudice to mandatory consumer protections of your habitual residence where applicable. Courts and enforcement offices of İstanbul, Türkiye, shall have jurisdiction, subject to mandatory consumer venue rules.
